Service Terms
These Terms and Conditions ("Terms") govern your access to and use of msgbrd.tv, a digital signage SaaS platform operated by msgbrd.tv ("we," "us," or "our"). By creating an account or using the platform, you agree to these Terms in full. If you do not agree, do not use the platform.
1. The Service
msgbrd.tv provides a cloud-based digital signage platform that lets businesses ("Organisations") manage and display content on connected screens — playlists, scheduling, area grouping, emergency broadcasts, and real-time screen monitoring. We may modify, suspend, or discontinue any feature with reasonable notice.
2. Accounts and Registration
You register an account on behalf of an Organisation and must give clear, affirmative consent to these Terms and our Privacy Policy. You agree to provide accurate information, keep your credentials secure, notify us of any unauthorised access, and accept responsibility for all activity under your account. We may suspend accounts with false information or that abuse the platform.
3. Subscriptions, Billing, and Payments
- Trial: new accounts may get a limited trial; on expiry, access is suspended until a paid plan is activated.
- Billing: subscriptions are billed monthly or annually in advance via our payment gateway; we do not store full card details.
- Auto-renewal: subscriptions renew automatically unless cancelled before the renewal date.
- Price changes: at least 30 days' notice; continued use is acceptance.
- Refunds: non-refundable except where required by law.
- Failed payments: access may be downgraded or suspended after a grace period.
4. Acceptable Use
Use the platform only for lawful purposes. You must not display content that is defamatory, obscene, hateful, or harassing; that infringes any intellectual property, privacy, or other rights; that is misleading or fraudulent; or that violates any applicable law. You are solely responsible for all content published through your account.
5. Your Content and Personal Data of Others
You retain ownership of all content you upload or display ("Your Content"), and grant us a limited licence to store, process, and transmit it solely to deliver the service. We do not claim ownership and will not use it for marketing or model training without your explicit consent.
Where Your Content includes the personal data of other individuals (for example students, patients, staff, or customers), you are the Data Fiduciary for that data under the Digital Personal Data Protection Act, 2023, and msgbrd.tv acts as your Data Processor, processing it only on your instructions. You warrant that you have a valid lawful basis and all necessary consents to display such data.
6. Children's Data
If you display the personal data of a child (a person under 18) — such as a student's name on an achievements board — you must first obtain and retain verifiable parental or guardian consent, and must not use that data for tracking, behavioural monitoring, or targeted advertising, in accordance with section 9 of the DPDP Act. The platform asks you to confirm you hold this consent before publishing a child's data; this confirmation is your declaration and does not transfer the obligation to us. Obtaining, verifying, and retaining proof of consent remains entirely your responsibility.
7. Screen Devices and Hardware
The player software may be installed on screens you own or control. You are responsible for procurement, installation, and maintenance of hardware; meeting minimum requirements; any connectivity costs; and the physical security and lawful placement of screens. We are not responsible for playback failures or damage from hardware failures, power interruptions, or network outages outside our infrastructure.
8. Emergency Broadcasts
The emergency broadcast feature is for operational communication only. You must not broadcast false emergency information, create panic, or simulate official emergency alerts. Misuse is a material breach and may result in immediate suspension.
9. Intellectual Property
msgbrd.tv, including its software, design, APIs, trademarks, and documentation, is owned by us and protected by law. You may not copy, modify, distribute, reverse-engineer, or create derivative works from any part of the platform without our written consent.
10. Uptime and Service Availability
We aim for high availability but do not guarantee uninterrupted service. Maintenance and updates may cause temporary downtime; for planned maintenance expected to exceed 30 minutes we will give advance notice where practicable. We are not liable for loss arising from service unavailability, however caused.
11. Data Protection and Privacy
Our collection and use of personal data as Data Fiduciary is governed by our Privacy Policy, incorporated into these Terms by reference. It describes your rights under the DPDP Act (access, correction, erasure, nomination, consent withdrawal, and grievance redressal), our processors, retention periods, and our Grievance Officer. We do not sell your data.
12. Confidentiality
Each party agrees to keep confidential any non-public information obtained from the other in connection with these Terms, and not to disclose it without prior written consent, except as required by law.
13. Limitation of Liability
- The platform is provided "as is" and "as available" without warranty of any kind.
- We do not warrant that the service will be error-free or uninterrupted.
- Our total cumulative liability shall not exceed the amount you paid us in the three (3) months preceding the event giving rise to the claim.
- We are not liable for any indirect, incidental, special, consequential, or punitive damages.
14. Indemnification
You agree to indemnify and hold harmless msgbrd.tv and its officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: (a) your use of the platform; (b) Your Content; (c) your handling of the personal data of others, including children's data; (d) your violation of these Terms; or (e) your violation of any third-party rights or applicable law.
15. Termination
You may cancel your account at any time from your account settings; cancellation takes effect at the end of the current billing period. You may also permanently delete your account and personal data at any time. We may suspend or terminate your account immediately for breach, fraud, or harm to others or the platform, after which your access ceases and we handle your data per the retention periods in our Privacy Policy.
16. Modifications to Terms
We may update these Terms from time to time. Material changes will be communicated at least 14 days before taking effect. Continued use after the effective date constitutes acceptance.
17. Governing Law
These Terms are governed by the laws of India, and disputes are subject to the exclusive jurisdiction of the courts located in India. If you access the platform from outside India, you are responsible for compliance with your local laws.
18. Miscellaneous
- Entire Agreement: these Terms with the Privacy Policy are the entire agreement between you and msgbrd.tv.
- Severability: if any provision is unenforceable, the rest remain in force.
- No Waiver: failure to enforce a provision is not a waiver of it.
- Assignment: you may not assign your rights without our consent; we may assign ours in a merger, acquisition, or sale of assets.
